Terms of Service

Effective October 21, 2026

These Terms of Service ("Terms") govern your use of grapenode.com, the GrapeNode app at app.grapenode.com and the GrapeNode POS agent (together, the "Service"), provided by GrapeNode ("GrapeNode", "we", "us"). By using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you confirm that you have authority to accept these Terms for that organization, and "you" includes the organization.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use.

2. Early access

The Service is in early access. It is currently free. Features may change, be limited or be discontinued, and you may run into errors. We won't charge you unless you agree to a paid plan.

3. Accounts

  • Give accurate information and keep it up to date.
  • Keep your password and personal PIN confidential. You are responsible for activity under your account. Tell us promptly at privacy@grapenode.com if you believe your account has been used without permission.
  • Organization administrators control who belongs to the organization and what each member can do. An administrator who creates an account for someone else is responsible for having permission to do so and for handing over the sign-in details securely.

4. Your data

You and your organization own the information you put into the Service ("Your Data"). You grant GrapeNode a worldwide, non-exclusive license to host, store, copy, process and display Your Data only as needed to provide, secure and support the Service.

You are responsible for Your Data, including having every right and consent needed to put other people's information into the Service, such as information about your customers, employees and suppliers. Our Privacy Policy explains how we handle information.

5. Your business and the law

You are responsible for complying with the laws that apply to your business, including laws on the sale, purchase, pricing, storage and handling of alcoholic beverages, and tax and employment laws.

Stock-health statuses, reorder suggestions, forecasts and similar features are estimates provided for information only. They are not legal, tax or business advice. Check them before relying on them; how you act on them is your decision.

6. The POS agent

  • Install the POS agent only on computers and POS systems you are authorized to access.
  • The POS agent reads data from your POS and uploads it to the Service. It doesn't change anything in your POS.
  • The POS agent stores the sign-in details of the account it uses on that computer. You are responsible for securing that computer and that account.
  • Your POS software is provided by its own vendor under its own terms, and we are not responsible for it.

7. Acceptable use

You agree not to:

  • use the Service to break the law or to infringe anyone's rights;
  • access, or try to access, another person's account or another organization's data;
  • probe, scan or test the Service for vulnerabilities, or get around its security, without our written permission;
  • interfere with or overload the Service, or upload malicious code;
  • copy, modify or reverse engineer the Service, except as the law allows;
  • resell or provide the Service to others without our written permission.

8. Third-party services

The Service relies on third-party cloud providers, and may link to or work with third-party products. Those products are governed by their own terms, and we are not responsible for them.

9. Our service and brand

GrapeNode owns the Service, its software and the GrapeNode name and logo. These Terms don't grant you any rights to them beyond using the Service as allowed here. If you send us feedback or suggestions, we may use them without obligation to you.

10. Suspension and termination

You can stop using the Service at any time, and you can delete your account or, as an owner, your organization. We may suspend or end your access if you break these Terms, if needed to protect the Service or its users, or if we discontinue the Service. Where reasonable, we'll try to give notice first. After termination, information is handled as described in our Privacy Policy. Sections 4, 5 and 9 to 16 continue to apply after termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, GRAPENODE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DATA, CALCULATIONS OR FORECASTS WILL BE ACCURATE.

12. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, GRAPENODE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL. GRAPENODE'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID GRAPENODE FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR US$100. Some jurisdictions don't allow these limits, so they may not apply to you.

13. Indemnity

You will defend and indemnify GrapeNode against claims, losses and costs (including reasonable legal fees) arising from Your Data, your business, or your breach of these Terms or the law.

14. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute relating to these Terms or the Service will be heard only in the state or federal courts located in New York, and you and GrapeNode consent to their jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we'll change the effective date above, and for material changes we'll take reasonable steps to let you know, for example in the app. If you keep using the Service after a change takes effect, you accept the updated Terms.

16. General

These Terms and our Privacy Policy are the entire agreement between you and GrapeNode about the Service. If any part of these Terms is found unenforceable, the rest stays in effect. Not enforcing a provision isn't a waiver of it. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition or sale of assets.
